These Terms and Conditions (“Terms”) govern your access to and use of the Shri Vishwakarma Cargo Enterprise Resource Planning platform. Please read them carefully before using the Software.
1Acceptance of Terms
By accessing or using the Shri Vishwakarma Cargo platform, website, or booking/consignment services (“Software” or “Services”), you agree to be bound by these Terms and Conditions. If you are acting on behalf of a company, consignor, or consignee, you represent that you are authorized to accept these terms on its behalf. If you do not agree, you must not use the Services.
2Account Access & Security
- Login credentials (email/password or OTP) are issued to authorized users only and must not be shared, sold, or transferred.
- You are solely responsible for all activity under your account and must notify us immediately of any unauthorized access or suspected breach.
- We reserve the right to suspend or terminate any account, without prior notice, on reasonable suspicion of misuse, fraud, or violation of these Terms, and shall not be liable for any resulting loss.
3Permitted Use
The Software is provided solely for managing logistics, fleet, booking, billing, and related operations of your enterprise. You agree not to:
- Use the platform for any unlawful purpose or in violation of applicable transport, tax, GST/e-way bill, or data protection regulations.
- Reverse engineer, copy, resell, sublicense, or create derivative works of the Software without our prior written authorization.
- Upload or submit false, misleading, or fraudulent shipment, billing, consignment, or driver data.
- Interfere with, disrupt, or attempt to gain unauthorized access to the security, availability, or integrity of the platform.
4Delivery Terms
Estimated delivery timelines are provided in good faith and are not a guarantee of a fixed delivery date:
- Standard delivery of consignments is targeted within 7 (seven) working days from the date of booking/pickup, subject to destination, route, and consignment type.
- Working days exclude Sundays and declared public holidays. Delays caused by incomplete/incorrect consignee address or contact details, failed delivery attempts, customs/regulatory holds, or consignee unavailability are excluded from this timeline and are not attributable to us.
- The 7-working-day estimate does not apply to force majeure events, remote or non-serviceable locations, or consignments requiring special handling.
- We will make commercially reasonable efforts to notify you of any anticipated delay beyond the estimated timeline.
5Data Accuracy & Responsibility
You are solely responsible for the accuracy, legality, and completeness of all data entered into the platform, including consignment, billing, GST/e-way bill, driver, and vehicle details. We are not liable for any loss, penalty, delay, or regulatory action arising from incorrect, incomplete, or fraudulent data entered by you or your organization’s users.
6Payments, Billing & COD
- Freight charges, invoices, and cash-on-delivery (COD) collections processed through the platform are subject to our Payment Policies and the billing terms agreed with your organization.
- All amounts are due as per the agreed billing cycle. We reserve the right to withhold consignment release, suspend services, or initiate recovery proceedings for overdue payments, without further notice.
- COD amounts collected on your behalf are reconciled and remitted as per the agreed settlement cycle; we are not liable for delays in settlement caused by incorrect account/bank details provided by you.
7Service Availability
We strive to keep the platform available at all times but do not warrant or guarantee uninterrupted, error-free, or continuous access. Scheduled maintenance, technical failures, third-party service outages, or events beyond our reasonable control may result in downtime, for which we shall not be liable.
8Limitation of Liability
To the maximum extent permitted by law:
- Shri Vishwakarma Cargo shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of revenue, profit, data, or business, arising out of or in connection with the use of, or inability to use, the Software or Services.
- Our aggregate liability for any claim arising from a consignment (including loss, damage, or delay) shall not exceed the freight charges paid for that specific consignment, unless a higher declared value and additional insurance charge were expressly agreed in writing at the time of booking.
- We are not liable for loss or damage to consignments containing prohibited, hazardous, perishable, or undeclared high-value goods.
- Nothing in these Terms limits liability that cannot be excluded under applicable law.
9Indemnity
You agree to indemnify and hold Shri Vishwakarma Cargo, its officers, employees, and agents harmless from any claims, losses, liabilities, and expenses (including legal fees) arising from your breach of these Terms, misuse of the platform, inaccurate data submitted by you, or violation of applicable law.
10Intellectual Property
The Software, including its design, source code, workflows, and branding, is the exclusive property of Shri Vishwakarma Cargo. These Terms grant you a limited, non-exclusive, non-transferable right to use the Software for your internal business operations only; no ownership rights are transferred.
11Force Majeure
We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, strikes, road/highway blockages, fuel shortages, government orders, pandemics, internet or telecom outages, or other force majeure events.
12Data Protection
Use of the platform is also governed by our Privacy Policy, which explains how we collect, use, and safeguard your data.
13Termination
We reserve the right to suspend or terminate access to the Software, with or without prior notice, for violation of these Terms, non-payment, suspected fraud, or misuse of the platform. Sections relating to liability, indemnity, and intellectual property shall survive termination.
14Changes to These Terms
We may update these Terms and Conditions at any time. Continued use of the platform after changes are posted constitutes acceptance of the revised Terms. Material changes will be communicated where reasonably practicable.
15Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any dispute shall first be attempted to be resolved amicably; failing which, it shall be subject to the exclusive jurisdiction of the courts in Jodhpur, Rajasthan.
